Terms of Service

Welcome to SignedAI. These Terms of Service (“Terms”) govern your access to and use of the SignedAI website at signedai.app, application, and services (collectively, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

1. Description of Service

SignedAI is an AI-powered document generation tool for freelancers. The Service generates proposals, contracts, onboarding questionnaires, statements of work, testimonial requests, and change orders using artificial intelligence (Anthropic Claude). You can edit, export (PDF and Word), and share the generated documents with your clients. The Service may change over time as we add, modify, or remove features.

2. Eligibility and Account Registration

• You must be at least 18 years old to use the Service.
• You must provide accurate and complete registration information.
• You are limited to one account per person or entity.
• You are responsible for maintaining the confidentiality of your password and for all activity under your account.
• You must notify us immediately at support@signedai.app if you become aware of unauthorized access to your account.
• We are not liable for losses arising from unauthorized use of your account.

4. Subscription Plans and Billing

Plans

• Free: 3 document generations (lifetime). One regeneration per document. Document types: proposals, contracts, and questionnaires.
• Starter ($15/month): 30 document generations per month. Two regenerations per document. All Free document types plus statements of work and testimonial requests.
• Pro ($29/month): Unlimited document generations. Three regenerations per document. All document types including change orders.

Billing

• Paid subscriptions renew automatically at the end of each billing cycle (monthly or yearly) until you cancel.
• All payments are processed by Stripe and are subject to Stripe’s terms.
• Payments are non-refundable. When you cancel a subscription, you retain access until the end of your current billing period.
• We reserve the right to change pricing with at least 30 days advance notice. Price changes take effect at your next billing cycle.
• Applicable taxes are your responsibility.
• If a payment fails, we may downgrade your account to the free tier after a grace period.

Free Tier

• The free tier is limited to 3 document generations for the lifetime of the account. This limit is not resettable.
• Creating multiple accounts to circumvent the free tier limit is prohibited.
• We may terminate free accounts that have been inactive for 12 or more months.

5. Intellectual Property

Our Property

SignedAI owns all rights to the Service, including the platform, user interface, design, branding, AI prompts, and underlying technology. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

Your Content

• You retain ownership of the information you input and the documents generated for you.
• You grant SignedAI a limited, non-exclusive license to process your inputs to provide the Service and to use anonymized, aggregated data to improve the Service.
• We do not use your content to train AI models.
• Copyright protection for AI-generated works is legally uncertain in many jurisdictions. You are responsible for understanding the intellectual property implications of using AI-generated documents.
• You are responsible for ensuring that the information you input does not infringe any third party’s intellectual property rights.

6. Acceptable Use

You agree not to use the Service to:

• Generate fraudulent, deceptive, or misleading documents.
• Impersonate a licensed attorney or represent generated documents as legally reviewed.
• Engage in any illegal activity or generate content that violates applicable law.
• Reverse-engineer, decompile, or attempt to extract our AI prompts or system architecture.
• Use automated tools to perform bulk generation in order to circumvent rate limits or usage caps.
• Resell, sublicense, or redistribute generated documents as a competing service.
• Submit personally identifiable information of third parties without their consent.
• Circumvent security measures, rate limits, or access controls.
• Generate content that is harassing, abusive, discriminatory, or obscene.

We reserve the right to suspend or terminate your account for violations of this section without notice.

7. Third-Party Services

The Service relies on third-party providers. Your use of these services is subject to their respective terms:

• Stripe — Payment processing. Subject to Stripe’s Services Agreement.
• Anthropic — AI document generation via Claude API. Subject to Anthropic’s Usage Policy.
• Google — Social authentication (if used).

We are not responsible for failures, outages, or changes to third-party services, including the availability or behavior of the AI model.

8. Warranty Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

• Generated documents are accurate, complete, legally valid, or enforceable.
• The Service will be uninterrupted, error-free, or secure.
• The AI will produce identical output for the same input.
• Generated documents are suitable for any particular purpose or jurisdiction.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNEDAI’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO SIGNEDAI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

IN NO EVENT SHALL SIGNEDAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, LEGAL FEES, OR LOSSES ARISING FROM YOUR RELIANCE ON AI-GENERATED DOCUMENTS OR ANY DISPUTE BETWEEN YOU AND YOUR CLIENTS OR COUNTERPARTIES.

10. Indemnification

You agree to indemnify, defend, and hold harmless SignedAI and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the Service and generated documents.
• Your violation of these Terms.
• Any dispute between you and your clients or counterparties related to documents generated by the Service.
• Your infringement of any third party’s intellectual property or other rights.

11. Account Termination

• By you: You may cancel your subscription or delete your account at any time. If you cancel a paid subscription, you retain access until the end of your current billing period.
• By us: We may suspend or terminate your account for violation of these Terms, abuse of the Service, fraudulent activity, or extended inactivity (12+ months on the free tier). We will make reasonable efforts to notify you before termination except in cases of severe or repeated violations.
• Effect of termination: Upon termination, your right to use the Service ceases. Your data will be retained for 30 days to allow export, then deleted in accordance with our Privacy Policy.
• Survival: Sections 3 (AI Disclaimer), 5 (IP), 8 (Warranty Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), and 12 (Dispute Resolution) survive termination.

12. Dispute Resolution

Informal Resolution

Before filing a formal dispute, you agree to contact us at support@signedai.app and attempt to resolve the issue informally for at least 30 days.

Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall take place in the United States, and the arbitrator’s decision shall be final and binding.

Class Action Waiver

YOU AND SIGNEDAI AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive your right to participate in a class action lawsuit or class-wide arbitration.

Opt-Out

You may opt out of this arbitration provision by sending written notice to support@signedai.app within 30 days of creating your account. If you opt out, disputes will be resolved in the state or federal courts located in the Commonwealth of Pennsylvania.

Small Claims Exception

Either party may bring qualifying claims in small claims court.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions.

14. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any feature) at any time, with or without notice. This includes the right to change the underlying AI model used for document generation. We are not liable for any modification, suspension, or discontinuance of the Service.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new “Last updated” date and, for material changes, by sending an email notification at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.

16. Miscellaneous

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SignedAI regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
• Waiver: Our failure to enforce any provision is not a waiver of that provision.
• Assignment: You may not assign your rights under these Terms. We may assign our rights without restriction.
• Force majeure: We are not liable for failures caused by events beyond our reasonable control, including natural disasters, internet outages, or third-party service failures.
• Notices: We will send notices to the email address associated with your account. You are responsible for keeping your email address current.
